Our client, an international European Headquartered Conglomerate Group involved in the construction and manufacturing sector is now looking to hire a Legal Counsel in a standalone position in Dublin as part of its UK and Ireland Legal team of four lawyers. The job is to provide legal advice to the business and support its various business streams in the successful delivery of its strategic objectives, ensuring maximum profit and return on invested capital.
The job reports to the CEO in Ireland and Functional Reporting to Regional Legal Director in the UK.
Key Tasks:
- Support senior management in addressing the legal needs of the business across various legal areas, including corporate, commercial, competition, procurement, compliance, and construction.
- Manage all corporate matters (including restructuring, establishing new entities, and dissolution of entities), and regulatory issues (permits, licenses) faced by the business.
- Assist the Regional Legal Director with all M&A activities (including JVs and partnerships).
- Draft company policies and procedures.
- Liaise with the client's parent company on PCG's and other key issues.
- Review and assess any unusual, complex, or high-value contracts.
- Analyze and review tenders, contracts, terms & conditions, ancillary documents, and other commercial agreements, and draft such contracts, terms & conditions, and other commercial documents related to the business.
- Provide support to the commercial teams with tailored legal advice and training.
- Select, instruct, and manage the advice of outside counsel.
- Support the business in the deployment, implementation, and compliance with the client's compliance program and advise senior management on corporate governance, ethics, and compliance.
- Provide in-house legal guidance and support to the business, including risk management information.
- Liaise with the client's parent company's legal departments when specialist legal support is required across areas such as corporate, competition, compliance, and intellectual property.
- Assist the Regional Legal Director with matters handled directly from the head office.
- Keep the business informed about any significant legal developments.
Person Specification:
A dynamic individual with strong legal experience who has in-house experience in the infrastructure sector or someone who has worked in private practice and is looking to make the move in-house. The ideal candidate will have outstanding communication and interpersonal skills, with the ability to relate well to a wide range of demographics (internal and external), all levels of management, and can work independently while clearly articulating messages to command the respect of their audience. The candidate should possess high-level conceptual and analytical skills, including the ability to interpret business performance, financial, and human resources data.
Qualifications:
- A qualified solicitor or equivalent (minimum 5 PQE/experience), preferably with private practice experience in the commercial department of a top law firm.
- Experience working as an in-house lawyer is advantageous.
- Experience in the infrastructure/construction/manufacturing sector is desirable.
- Previous experience with insurance and/or procurement is advantageous.
- French language skills are beneficial.
- Demonstration of continuous professional development is required.
