As a Corporate Governance & Secretariat Manager, you will play a critical role in advising boards on governance, implementing best practices, and ensuring compliance with Japanese corporate regulations. You will work closely with senior management and board members to enhance corporate governance frameworks and maintain operational excellence.
Key Responsibilities
- Oversee all company secretarial activities, ensuring compliance with corporate governance standards for Japanese entities.
- Advise the Board, Chairman, and senior management on governance matters while ensuring efficient communication and decision-making.
- Manage corporate registration, filings, and statutory obligations, ensuring strict adherence to legal and regulatory requirements.
- Develop, implement, and maintain corporate governance frameworks to support board effectiveness and compliance.
- Prepare meeting documents, maintain corporate records, oversee corporate seals, and escalate governance risks when necessary.
Required Skills and Qualifications
- Experience:
- Minimum 5 years of experience in corporate law for Japanese companies.
- Strong knowledge of the Company Act of Japan and corporate registration processes.
- Technical Skills:
- Expertise in corporate governance frameworks and regulatory compliance.
- Soft Skills:
- Strong leadership, problem-solving, and interpersonal skills.
- Ability to collaborate effectively with Directors and Senior Management.
Language Requirements
- Japanese: Native-level proficiency (required for governance and legal documentation).
- English: Intermediate to Business-level (for communication with global stakeholders).
Preferred Skills & Qualifications
- Qualification in legal practice or judicial scrivener is highly desirable.
- Familiarity with the HSBC Group and a clear understanding of its corporate culture.
