A leading global firm is seeking a Vice President, Corporate Counsel to provide strategic legal guidance on corporate governance, regulatory compliance, and senior management advisory. This role offers the opportunity to shape governance frameworks, support executive leadership, and oversee legal entity compliance in Japan.
Key Responsibilities
- Ensure corporate governance standards align with global legal entity models and strategic objectives.
- Advise non-legal corporate secretaries on governance best practices and regulatory compliance.
- Provide legal counsel on governance, resolution, and recovery plans for local, regional, and global projects.
- Organize and facilitate board and shareholder meetings, including agenda preparation, governance advisory, and minute documentation.
- Advise directors on fiduciary duties, governance practices, and oversee orientation and ongoing education programs.
- Maintain corporate records, certifications, policy documents, signing authorities, and organizational charts.
- Oversee statutory and regulatory filings, collaborating with external counsel and compliance teams to meet legal requirements.
- Provide expert legal guidance on corporate law, restructuring, capital actions, joint ventures, incorporations, and liquidations.
Required Skills and Qualifications
Experience:
- Law degree with 7+ years of experience in the legal or financial industry.
- Proven expertise in corporate governance, regulatory compliance, and legal risk management.
Soft Skills:
- Strong communication, presentation, and stakeholder management skills.
- Highly organized, detail-oriented, and proactive, capable of working under tight deadlines.
Language Requirements
- Japanese: Native (required for regulatory filings and board interactions).
- English: Business-level (required for global collaboration and reporting).
Preferred Skills & Qualifications
- Experience in regulatory reporting and corporate compliance.
- Background in financial services, corporate law, or global governance frameworks.
